Merchant Onboarding and Technical Service Agreement

Last updated: November 4, 2026

This text applies to Merchants that use Jingdian's brand management, product management, and business dashboard services, or its proxy publishing services for Mini Programs and apps, as business entities. Please read it carefully before enabling the relevant capabilities. By confirming within the platform or actually using the relevant services, the Merchant acknowledges that it has read and agrees to this Agreement.

1. Parties and Nature of the Service#

This Agreement is entered into between Hangzhou Jingxi Technology Co., Ltd. (hereinafter “Jingdian” or “we”) and any enterprise, sole proprietor, or individual that activates, through Jingdian, brand space, product management, content generation, or business data dashboard services, or proxy publishing (submitting and publishing on the merchant's behalf) services for Mini Programs and apps (hereinafter the “Merchant” or “you”).

Jingdian provides technology and operations tooling services, including brand material management, AI-assisted content generation, the organization and presentation of product and inventory information, business data dashboards, and, with the Merchant's authorization, assistance in developing, submitting, and publishing Mini Programs and apps. Jingdian is not the seller of the goods or services sold by the Merchant under this Agreement.

2. Business Entity and Allocation of Responsibility#

The Merchant is an independent business entity that operates, collects payments, and performs its obligations in its own name. Procurement, pricing, inventory, shipping, after-sales service, and invoicing of goods, together with the resulting administrative and civil liabilities, are borne by the Merchant itself.

The Merchant shall ensure that it holds the business qualifications and industry licenses required for the goods or services it sells (for example, food, cosmetics, medical devices, and publications), and shall display its entity name, business address, contact information, and the necessary license information in a prominent position on its Mini Program, app, and online storefront.

The Merchant acknowledges and will cooperate with the verification Jingdian is required to carry out by law: for engagements involving advertising production, publishing or proxy publishing, Jingdian operates an intake-registration and review system for advertising business in accordance with the Advertising Law of the People's Republic of China and the Measures for the Administration of Internet Advertising, and retains records of the entity qualifications, industry permits and content reviews supplied by the Merchant. Where supporting documents are incomplete or the content does not comply with applicable rules, Jingdian will not provide design, production or agency services and will not publish.

3. Funds and Settlement#

The Merchant collects payments from consumers through its own receiving accounts (for example, its own WeChat Pay or Alipay merchant account), and the payment institution settles the funds directly into the Merchant's account. Jingdian does not engage in fund aggregation or secondary clearing, does not collect payments on the Merchant's behalf, does not allocate funds, and does not touch the Merchant's sales proceeds.

The fees Jingdian charges the Merchant for this service (including plan fees and AI credits) are entirely separate from the Merchant's sales proceeds; the two are neither commingled nor offset, and Jingdian neither withholds nor collects the Merchant's sales proceeds on its behalf.

4. Proxy Development and Proxy Publishing#

After the Merchant completes authorization of the WeChat Open Platform third-party platform, Jingdian may, within the authorized scope, use the Merchant's Mini Program account to submit code, generate trial versions, and file review submissions. Publication of a released version depends on the Merchant's confirmation instruction issued within the platform together with WeChat's official review outcome.

The registration entity, the filing (ICP filing) entity, and the party responsible for the content of a Mini Program must all be the Merchant itself. Jingdian makes no commitment as to review outcomes by WeChat, app stores, or other channels; the Merchant bears the consequences of any rejection, traffic restriction, blocking, or delisting caused by missing qualifications, non-compliant content, or inaccurate information.

During proxy publishing, Jingdian may access the Merchant's back-end configuration and data. Such access is limited to what the service requires, and we will cease the corresponding operations once the service ends or the authorization is withdrawn. The Merchant may withdraw its authorization at any time within the platform.

5. Data, Authorization, and Processing Boundaries#

Brand materials, product data, and business data that the Merchant manages through Jingdian belong to the Merchant. The Merchant authorizes us to store, process, display, and back up such data for the purposes of providing, maintaining, troubleshooting, and compiling statistics for the service; without the Merchant's separate consent, it will not be disclosed to unrelated third parties.

Where consumer personal information is involved (such as order delivery details or member phone numbers), the Merchant and Jingdian each bear their corresponding personal information protection obligations. As an entrusted processor, Jingdian processes such information only within the agreed purposes and period; the Merchant shall itself complete the notification to, and obtain the authorization of, consumers.

After terminating the service, the Merchant may apply to export its own data within a reasonable period. Data that passes the retention period without an export request may be cleaned up in accordance with the agreed policy.

6. Content and Promotional Compliance#

Promotional content that the Merchant generates, edits, or publishes externally through Jingdian shall comply with the Advertising Law of the People's Republic of China, the Anti-Unfair Competition Law of the People's Republic of China, the Law of the People's Republic of China on the Protection of Consumer Rights and Interests, and the platform rules. Absolute claims, fabricated efficacy, unsupported qualifications, and trademarks or works in which others hold rights shall not be used. The Merchant is the responsible party for content published externally and shall complete its own review before publication.

When AI-generated materials are used for commercial promotion, they must also comply with the labeling and review requirements in Jingdian's Statement on the Labeling of AI-Generated Content.

Where content commissioned from Jingdian or published through Jingdian constitutes a commercial advertisement, it must be identifiable as such and must conspicuously bear the label “Advertisement” or the equivalent marking required by law and by the distribution channel. The Merchant shall provide the entity qualifications, approvals and factual substantiation underlying the advertised content.

7. Fees, Changes, and Termination#

The pricing, validity, and consumption rules for plans and AI credits are as published on the platform pages. When Jingdian adjusts the service content or prices, it will give advance notice through in-app notifications or page announcements; for adjustments clearly unfavorable to the Merchant, the Merchant may stop using the service and apply to settle its remaining entitlements.

The Merchant may apply to terminate the service at any time. In the event of non-compliant business conduct, overdue payments, security risks, or abuse of interface capabilities, we may first restrict the relevant functions and then notify the Merchant, and suspend the service where necessary.

8. Breach Handling and Limitation of Liability#

For non-compliant content or conduct, Jingdian may take measures such as reminders, ordered rectification within a set period, delisting of products, restriction of display, suspension of proxy publishing, or termination of the service, and may keep records of the handling.

To the extent permitted by law, Jingdian is not liable for losses caused by third-party service failures, channel reviews, force majeure, or the Merchant's own operations; for losses caused by Jingdian's fault, liability is capped at the service fees the Merchant actually paid over the trailing 12 months, except for liabilities that the law prohibits limiting or excluding and situations in which we acted intentionally or with gross negligence.

9. Effect of the Agreement and Miscellaneous#

This Agreement, together with the Terms of Service, the Privacy Policy, and the Refund and Invoicing Rules, forms the parties' complete agreement on the service; for the Merchant's business scenarios, the more specific provisions of this Agreement prevail.

The formation, performance, and interpretation of this Agreement are governed by the laws of the People's Republic of China. In the event of a dispute, the parties shall first negotiate; if negotiation fails, either party may bring an action before the people's court with jurisdiction at the place of domicile of Hangzhou Jingxi Technology Co., Ltd.
